When a company wants to go public the following procedure must be performed: †¢The first thing it does is hire an investment bank, which does the underwriting. Underwriting is the process of raising money by either debt or equity (in this case we are referring to equity). We consider the underwriters as middlemen between companies and the investing public. †¢The company and the investment bank will meet to negotiate the deal. Items usually discussed include the amount of money a company will raise, the type of securities to be issued and all the details in the underwriting agreement. †¢The deal can be structured in a variety of ways. For example, in a firm commitment, the underwriter guarantees that a certain amount will be raised by buying the entire offer and then reselling to the public. In a best efforts agreement, however, the underwriter sells securities for the company but doesn’t guarantee the amount rose. †¢Investment banks are hesitant to shoulder all the risk of an offering. Instead, they form a syndicate of underwriters. One underwriter leads the syndicate and the others sell a part of the issue. †¢Once all sides agree to a deal, the investment bank puts together an offer document to be filed with the SEC. This document contains information about the offering as well as company info such as financial statements, management background, any legal problems, where the money is to be used and insider holdings. †¢The SEC then requires a cooling off period, in which they investigate and make sure all material information has been disclosed. Sociology of Sport

Many in the community are not aware that the class of Sociology of Sport is offered in the school. Many who do recognize that the class is being offered in the school may also question the value and academic merit of such a course. What people don’t see is that the world of sports is closely linked to the social world. Social attitudes are reflected in the world of sports. These attitudes can be seen in different ways such as the social atmosphere affecting sports, the ways in which we define sports, exempting the world of sports from the world of citizenship and deviance in sports.Through these ways we can see how such a class can enlighten a person on sports and the real world. In this course of the Sociology of Sport, we intend to identify and understand the place of sports. We also underline the world of sports and see how the social atmosphere affects sports and vice versa. With New York City being a predominantly urban area, people who grow up in New York City are almost automatically more into the sport of basketball. The social atmosphere affects the interests of the social world largely. Being that it is an urban area, there is limited space within the city.The space that is available is usually converted into basketball courts due to the limited space and concrete floors. There is not enough space for a large field with grass in New York City. But if you were to go out more east towards Long Island and the Suffolk counties, you will see that the social atmosphere begins to change due to society. Out in Long Island, grass and trees are seen more often than in New York City due to more open spaces for people and their homes. Larger fields and different kinds of fields are seen more often. Due to more open space, a greater interest in lacrosse, soccer, and football is very apparent.Sports such as lacrosse is played in Long Island and never seen within the city. Long Island high school mostly have a lacrosse team while the only city high school to have a lacrosse team is Benjamin Cardozo which happens to be located in Bayside, Queens, the border between Queens and the Long Island counties. Sports participation affects family dynamics as well. The biggest dynamic that the participation of sports affects is time. Through my own experience I was able to see how much the dynamic of time was affected within our family.During high school, I used to have soccer practice every day except for Fridays. I remember getting out of school and running to the train to be able to make soccer practice at 4PM out in Long Island. I would get home, change and wait in the car for my mother to get home from work. My mother didn’t even have the chance to eat anything as my younger brother had to be drooped off at his practice first which was in Bayside then head off to my practice in Long Island at Hofstra University. Practice would be three hours and then it would be another hour of driving to pick up my younger brother and get home.We would arrive home around 9PM and I would have to manage to get my school work done and eat dinner with the family around 10PM. I always thought a sport was a team competition in which both teams compete to meet a goal and therefore a winner is determined. But I learned throughout the course that there are many different kinds of sports such as the ones we saw in the past winter Olympics with sports such as curling, or figure skating that are not always within a group or falls under the team category. Sport is whatever we or society, define it to be. Any organized sport requires money, equipment and time.The rules in each sport differ. The rules change to meet the cultural needs of a society. Rules are arbitrary. For example, when playing a game of tennis there has to be an agreement between the two players or teams that hitting the ball over the net and maintaining the ball within the area of the tennis court is fair play. One player cannot smash the ball out of the court and into the pa rking lot and call it a win because he had the strongest hit, unless there was an agreement between the two. This is why there must be a set of rules agreed upon the two players because they can play the game of tennis differently.A more visible example of rules changing to meet the cultural needs of a society is one that we see in our everyday lives while watching professional baseball or MLB. The Major League Baseball is divided into two leagues which are the National league and the American League. The American League has a designated hitter while the National League does not allow designated hitters within their rules. Rules do not conflict when teams of their respected leagues play against each other but when a team from the National League has to play against a team from the American League, rules conflict. Teams must now play according to home field rules.That means if the American League team happens to be the home team, rules apply for the allowance of a designated hitter. Back in the schoolyard, basketball rules are arbitrary all the time. Rules are less strict in the schoolyard compared to rules in the NBA or in college basketball. Players also cut some slack on less talented players who may constantly commit â€Å"travels† or â€Å"double dribbles†. Sports don’t exist in a cultural vacuum but the world of sports is very much like the world of masculinity. During the course we watched a video of â€Å"Killing Us Softly†, which has to do with the study of gender representation in advertising.It reviews if and how the image of women in advertising has changed over the last 20 years. With over 160 ads and TV commercials, as a viewer we see how women are portrayed and how the idea of masculinity is a never ending philosophy over the years. The images portray violence of women in society, such as a woman and a shadowy figure behind her. There are also ads of woman used as footstools, woman being murdered, and men as perpetrato rs of violence in community. The image of masculinity is deeply linked to violence. This social attitude is reflected into the world of sports with big muscular men and skinny women.The men always want to be the bigger and stronger man on the court whether it is on a basketball court and a player preferring to slam dunk over their opponent rather than a simple lay-up or on the football field and the players creating the most violent tackle of bringing their opponent to the ground and then taunting them. Even women in the WNBA are commercialized with makeup and sexualized in a way. People even say such a great tennis player as Serena Williams looks like a man or women weight lifters being men like or called â€Å"lesbians† for their â€Å"manly† features of having big muscles.Such players as Anna Kournikova who may have not won an important competition within their careers still manage to increase and gain more endorsements than a Serena Williams for their image of bein g attractive and feminine which appeal more to men and the public. Despite the many similarities that reflect from the â€Å"real world† to the world of sports, many of the realities that people would have to deal with in the â€Å"real world† they don’t have to go through in the world of sports. This raises the question of â€Å"what makes the world of sports exempt from the world of citizenship†?An example of this situation is of violence and deviance in sports. Recently during a women’s basketball game, one of the players turned and punched one of her opponents during game play. For this act of violence the player was suspended for two games and had to give an apology to the victim. If this same situation occurred in the â€Å"real world† in the street, that would be considered an assault crime and the aggressor would have gotten sued by the victim for physically hurting someone. Players in professional sports are perceived to perform dev iance when they are discovered to be using steroids for performance enhancing.But what deviance is there in using steroids for performance enhancing if some runners sleep in oxygen tanks the night before a competition? That would also be performance enhancing by receiving large masses of oxygen before a long race. If normal people do what athletes do to their bodies that would be self destructing themselves. Athletes at times force themselves to play on bad conditions and not only that but as I explained before, many professional athletes choose, knowingly, to take and consume steroids.Despite the proven effects, professional players still â€Å"break the rules† of sport and take such a substance to enhance their performances. Many of the social attitudes and atmospheres have proven to provide a great effect on people and the world of sports and the citizenship world. Many deviances and acts of violence show how much a difference the situation is handled in their environments . The realities and consequences of situations are different in the world of sports than to the world of citizenship. With this course I was able to learn how to relate attitudes and situations and analyze how linked both worlds are. Internet Gambling Essay

This document will inform you about the history of internet gambling, the existing issues, and a number of concerns involved with online gambling. Prior to the launching of the World Wide Web in 1993 which changed the setting of gambling, people had to travel great distances to gamble. The world’s first virtual online casino, Internet Casinos, Inc. (ICI) commenced operation on August 18, 1995 with 18 different casino games. Most of these online gambling companies are located outside of the U. S.to avoid government prosecution. ICI operates out of the Turks and Caicos Islands (Kish, 1999). One of the main reasons internet gambling started was because of costs. The value to start up an internet gambling site is around 1. 5 million dollars, which is half of what it costs to actually construct a casino. ICI estimates that the company averages about a twenty four percent profit margin, versus the typical United States casino, which ranges from eight percent to sixteen percent of each dollar wagered (Kish, 1999). An estimated twenty million people are currently online with a projected 160 million online by the year 2020. The overall market for online gambling is estimated to be approximately $49 billion worldwide (Kish, 1999). The history of internet gambling is only a decade old, however, its history will hold on for several more. There are several existing issues facing internet gambling. The first issues we will discuss are how to regulate internet gambling. The question raised by the emergence of Internet gambling is whether old laws–based mainly on a world of atoms–are still viable, and if not, in which way the Internet should be regulated (Walther, 2000). Some scholars believe that internet gambling needs to be regulated, and of course there are those that say let the owners of the sites regulate themselves. Regulatory procedures can be targeted at either or both of the providers and the consumers of gambling services. In the case of consumers, regulation is usually implemented by age, through prohibition of the participation of minors. Procedures might also be contrived to prohibit problem gamblers or undischarged bankrupts from engaging in gambling (Clarke, 2000). Another existing problem with internet gambling is The Wire Act which was intended to assist the states, territories and possessions of the United States, as well as the District of Columbia, in enforcing their respective laws on gambling and bookmaking and to suppress organized gambling activities. Subsection (a) of the Wire Act, a criminal provision, provides: â€Å"Whoever being engaged in the business of betting or wagering knowingly uses a wire communication facility for the transmission in interstate or foreign commerce of bets or wagers or information assisting in the placing of bets or wagers on any sporting event or contest, or for the transmission of a wire communication which entitles the recipient to receive money or credit as a result of bets or wagers, or for information assisting in the placing of bets or wagers, shall be fined under this title or imprisoned not more than two years, or both† (Rodefer, 2003). During the House of Representatives debate on the bill, Congressman Emanuel Celler, Chairman of the House Judiciary Committee stated â€Å"[t]his bill only gets after the bookmaker, the gambler who makes it his business to take bets or to lay off bets. . . It does not go after the causal gambler who bets $2 on a race (Rodefer, 2003). What the government is having a problem with is that most internet gambling sites are run ran in foreign countries, and they cannot enforce this act against them. What they are trying to do is change the act to include these third parties. An example of this is the introduction of the Internet Gambling Prohibition Act of 1997 (Walther, 2000). The bill would have prohibited Internet gambling by extending the Wire Act’s prohibitions on traditional forms of gambling by phone or wire to the Internet (Walther, 2000). This amendment would provide penalties for online bets and wagers. This so far seems to be the best solution, however ethical and moral dilemmas still rest in the hands of our lawmakers today. The next issue facing internet gambling is taxes. This seems to be the government’s biggest issue. This is because of the billions of dollars we mentioned for profit by these online sites, government can gain significant amount of money from it. The legalization of Internet gambling may cause states to lose some revenue generated from legalized gambling operations because many gamblers would spend their money online (Lassani, 1998). Moreover, states lose revenue by not being able to tax gamblers who win over the Internet. Gamblers who win over the Internet have an incentive not to pay taxes on their winnings because the Internal Revenue Service (IRS) lacks the resources to track online gamblers (Lassani, 1998). The likelihood of addiction to Internet gambling among both children and adults is an extremely important concern. In relation to addiction, children are more likely to become addicted to something new than adults (Smith, 2004). For example, the video game-like nature of virtual casinos, labeled the â€Å"crack cocaine of gambling,† could make online gambling a temptation difficult to resist. Furthermore, the fact that the Internet gambler need not leave the comfort and privacy of his or her home could mean that an individual might become easily addicted. This is the worst thing about internet gambling, because there will not be anyone to detect if a person is addicted or not. Consequently the only aid they will get is their selves, and that leaves the player defenseless against the dependence of gambling. Having to go to the casino to gamble has better chances of knowing who is addicted and who is not, they have hired hands to detect this problem, unlike the home atmosphere. Kevin O’Neill, Deputy Director of New Jersey’s Council on Compulsive Gambling says â€Å"The real threat comes from the isolation and secrecy of the betting activity itself. † â€Å"I call this threat the cave syndrome due to the gambler’s isolated behavior and hidden activity† (Wharry, 2001). In closing the short lived World Wide Web as created pandemonium with our lawmakers. The dilemma of how everyone interprets the Wire Act is a major concern. The efforts to amend it to make all users liable for using the websites are tiresome, and stopping foreigners from creating internet gambling sites seems never-ending since the United States cannot control them. In just over a decade there are over twenty million users, expected to increase to 160 million in the next 14 years. Its revenue is over 49 billion dollars and increasing. There are more profit margins with online gambling than the traditional casino. The cost to create a gambling web is 1. 5 million dollars compared to the 300 million to build a casino, this creates profit and increases attendance because of its trouble-free access. One important concern with internet gambling is addiction. Children are easily addicted to new things than adults and it will make it harder to control and detect gambling addiction. Internet gambling is a good creation for those people who can control themselves, but for those who cannot have a greater chance to end up bankrupt. Thus we can see from this example alone, why lawmakers are having such problems to secure the problem, do they let it carry on or let people put themselves in jeopardy of losing everything. Working Management and Dividend Policy - Assignment Example The two most significant theories dealing with this subject, as explained by Brealey and Myers, are that of Miller and Modigliani (MM), and the traditionalist view. According to the theory proposed by MM, the capital structure of the firm has no relevance to determining the value of the firm. So, they opine that there is no difference in the value of stock between geared and ungeared firms. Gearing does not affect the value of a firm, whether positively or negatively. The payment of dividend also is not necessarily required to be done on a regular basis, since it does not have any effect on the value of the share price. MM have proved that capital structure can be irrelevant even when debt is risky. (Brealey and Myers 469) Thus, MM propose that financial leverage or gearing does not affect shareholders wealth. And secondly, that the rate of return on shares increases as the firm's debt-equity ratio increases (pp. 473). But, this increase is exactly offset by increased risk and hence, the required rate of return, which nullifies the increase in returns. A "traditionalist" view has emerged in response to MM's proposals regarding geared equity. The traditionalists believe that personal borrowing is more expensive, risky and inconvenient to investors, so they are willing to pay a premium for shares in moderately geared firms. Consequently, they believe that firms should borrow to "realise" this premium. (Brealey and Myers 782) According to this view, up to a certain point of gearing, the Weighted Average Cost of Capital (WACC) decreases, and after this point WACC increases. The point where WACC is minimum is the optimal point of gearing, where shareholders' wealth is maximised or price per share is highest. (McLaney 231) MM rejected this view and opined that WACC is impervious to level of gearing. Wacc and the value of a firm only depend on (1) the cash flows generated by the investments of the firm, and (2) their business risk. (pp 234) They see a world without taxes or bankruptcy costs. McLaney observed that a large proportion of firms do go for some level of capital gearing, while very high levels of gearing are very rare. Thus, managers do believe that gearing lowers WACC, but not at very high gearing levels. Empirical evidence shows that "firms with safe, tangible assets and plenty of taxable income have higher debt to equity ratios than an unprofitable business with intangible assets."
